1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the OpenPadel website, platform, APIs, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

2. Description of Services

OpenPadel provides an interoperability platform for the padel ecosystem, including core schemas, a sync engine, a governance layer and a B2B marketplace.

3. Account Registration and Security

To access certain features of the Services, you may need to register an account. You agree to provide accurate information, maintain the security of your credentials, promptly notify us of unauthorized access, and accept responsibility for all activity under your account.

4. Acceptable Use

You agree to use the Services only for lawful purposes. You shall not violate applicable laws, transmit harmful content, attempt unauthorized access, reverse engineer the Services, or scrape data beyond your access scope.

5. Data Ownership and Licensing

5.1 Your data

You retain all rights to the data you submit. By using the Services, you grant us a limited, non-exclusive license to process, store, and transmit Your Data solely for the purpose of providing the Services.

5.2 OpenPadel schemas and platform

The OpenPadel schemas, APIs, documentation, and platform software are owned by us. You are granted a limited, non-exclusive, non-transferable license to use them in connection with the Services.

6. API Usage and Rate Limits

Access to OpenPadel APIs is subject to rate limits and usage quotas as specified in your service agreement.

7. Service Level and Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice.

8. Fees and Payment

Certain features may be subject to fees as outlined in a separate service agreement. Late payments may incur interest at the rate of 1.5% per month or the maximum rate permitted by law.

9. Intellectual Property

All intellectual property rights in the Services are owned by us or our licensors. The OpenPadel name, logo and brand assets may not be used without our prior written consent.

10. Confidentiality

Each party agrees to keep confidential any non-public information received from the other party in connection with the Services.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OpenPadel SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

13. Indemnification

You agree to indemnify and hold harmless OpenPadel and its officers, directors, employees, and agents from claims arising out of your use of the Services or violation of these Terms.

14. Term and Termination

These Terms are effective until terminated. We may terminate or suspend your access at any time for violation of these Terms.

15. Governing Law and Disputes

These Terms shall be governed by the laws of the jurisdiction in which OpenPadel is registered. Disputes shall first be resolved through good-faith negotiation.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes.

17. General Provisions

• Entire agreement: These Terms constitute the entire agreement between you and OpenPadel.
• Severability: If any provision is found invalid, the remaining provisions remain in full force.
• Waiver: Failure to enforce any provision does not constitute a waiver.
• Assignment: You may not assign your rights without our prior written consent.
