1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the OpenPadel website, platform, APIs, and related services (collectively, the "Services") provided by CodeIdea LLC ("OpenPadel", "we", "us", "our"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you may not use our Services.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Services

OpenPadel provides an interoperability platform for the padel ecosystem, including:

  • Core schemas: Vendor-agnostic, standardized data models for venues, courts, availability, bookings, and related padel domains.
  • Sync engine: Real-time data synchronization between connected platforms, clubs, and federations via APIs, webhooks, and polling mechanisms.
  • Governance layer: Access controls, approval workflows, scoped permissions, audit logging, and usage monitoring.
  • Marketplace-lite: A B2B data and feature exchange where platforms can publish offerings and request access to others.

3. Account Registration and Security

To access certain features of the Services, you may need to register an account. You agree to:

  • Provide accurate, current, and complete registration information.
  • Maintain the security of your account credentials and API keys.
  • Promptly notify us of any unauthorized access or security breach.
  • Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or pose a security risk.

4. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not:

  • Violate any applicable laws, regulations, or third-party rights.
  • Use the Services to transmit malware, spam, or other harmful content.
  • Attempt to gain unauthorized access to any part of the Services or related systems.
  • Reverse engineer, decompile, or disassemble any part of the Services.
  • Use the Services in a way that could damage, disable, or impair their operation.
  • Scrape, harvest, or collect data from the Services beyond what is authorized by your access scope.
  • Resell or redistribute access to the Services without our written permission.
  • Misrepresent your identity or affiliation with any person or entity.

5. Data Ownership and Licensing

5.1 Your data

You retain all rights to the data you submit to the Services ("Your Data"). By using the Services, you grant us a limited, non-exclusive license to process, store, and transmit Your Data solely for the purpose of providing the Services and as authorized by the access scopes you configure.

5.2 OpenPadel schemas and platform

The OpenPadel schemas, APIs, documentation, and platform software are owned by CodeIdea LLC. You are granted a limited, non-exclusive, non-transferable license to use them in connection with the Services.

5.3 Shared data

Data shared between participants in the OpenPadel ecosystem is governed by the access scopes, approvals, and entitlements configured by data providers. Consumers may only use shared data within the scope of their approved access.

6. API Usage and Rate Limits

Access to OpenPadel APIs is subject to rate limits and usage quotas as specified in your service agreement or the published API documentation. We reserve the right to throttle or suspend API access if usage exceeds agreed limits or threatens platform stability.

7. Service Level and Availability

We strive to maintain high availability of the Services but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. We are not liable for downtime caused by factors outside our reasonable control, including third-party service failures, network issues, or force majeure events.

8. Fees and Payment

Certain features of the Services may be subject to fees as outlined in a separate service agreement. Unless otherwise specified:

  • Fees are quoted in the currency specified in your agreement.
  • Payment is due within 30 days of invoice date.
  • Late payments may incur interest at the rate of 1.5% per month or the maximum rate permitted by law.
  • We reserve the right to modify pricing with 60 days' advance notice.

9. Intellectual Property

All intellectual property rights in the Services, including but not limited to software, designs, logos, trademarks, and documentation, are owned by CodeIdea LLC or its licensors. Nothing in these Terms transfers any intellectual property rights to you except the limited license expressly granted herein.

The OpenPadel name, logo, and brand assets may not be used without our prior written consent.

10. Confidentiality

Each party agrees to keep confidential any non-public information received from the other party in connection with the Services, including technical specifications, business plans, API credentials, and usage data. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CODEIDEA LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE USE OF THE SERVICES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED EUROS (€100), WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify, defend, and hold harmless CodeIdea LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Services, violation of these Terms, or infringement of any third-party rights.

14. Term and Termination

These Terms are effective until terminated. You may terminate your use of the Services at any time by closing your account and ceasing all use. We may terminate or suspend your access at any time for violation of these Terms, with or without prior notice.

Upon termination:

  • Your right to access the Services immediately ceases.
  • We will make your data available for export for a period of 30 days, after which it may be deleted.
  • Sections relating to intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and governing law survive termination.

15. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which CodeIdea LLC is registered, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the competent courts of the applicable jurisdiction.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes by posting the updated Terms on our website or sending a notification to your registered email. Continued use of the Services after the effective date of changes constitutes acceptance of the modified Terms.

17. General Provisions

  • Entire agreement: These Terms, together with any applicable service agreement, constitute the entire agreement between you and OpenPadel.
  • Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.
  • Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of that provision.
  • Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights freely.
